Breaking Away | Building Compliance into Your Firm from Day One

By: Kyle Fleming

BACK

Breaking away from a larger firm gives advisors greater control over how they build their new business, serve clients, and plan for growth. It also means taking ownership of responsibilities that may have been handled behind the scenes, including compliance.

From registration and regulatory filings to ongoing oversight and technology, establishing the right compliance practices early can help firms support their business today and into the future.

SS&C Black Diamond® Wealth Solutions supports breakaway advisors with an integrated technology foundation designed to evolve alongside their business.

Build Compliance into the Foundation
One of the first questions a new RIA needs to answer is straightforward but important: Which regulator am I answerable to?

Depending on the firm and its circumstances, an investment advisor may be required to register with the U.S. Securities and Exchange Commission (SEC) or one or more state securities authorities. Understanding which requirements apply, what must be filed, and how those obligations may change is an important early step.

Registration, however, is only the beginning. A new firm also needs a compliance program that reflects its business, operations, and applicable regulatory requirements. For SEC-registered investment advisers, this includes adopting and implementing written compliance policies and procedures and a code of ethics, designating a chief compliance officer, and reviewing the adequacy and effectiveness of those policies and procedures at least annually.

For a breakaway advisor, compliance should not be viewed as a one-time task before launch. It must be integrated into daily responsibilities and systems. Firms also need a process to stay informed as the regulatory landscape evolves and address applicable changes within their compliance program.

Prepare Compliance to Scale with the Firm
Compliance becomes part of a firm’s day-to-day operations. Depending on the business and applicable requirements, responsibilities may include:

  • Maintaining required books and records

  • Overseeing marketing and communications

  • Managing disclosures and regulatory filings

  • Monitoring personal securities transactions

  • Documenting required reviews

As firms add advisors and employees, they may also need to manage processes related to registration, attestations, continuing education, communications, and other oversight responsibilities.

As the business evolves, the resources needed to manage compliance may also change. Firms may eventually expand internal compliance resources, engage outside expertise, implement additional technology, or use a combination of approaches.

Establishing repeatable processes early can help firms manage increasing complexity while supporting examination readiness through organized records, established policies and procedures, and documented reviews.

Where Does Compliance Technology Fit?
There is no single technology strategy that fits every wealth management firm. The right solution depends on a firm’s size, structure, regulatory requirements, existing processes, and growth plans.

However, as the volume of accounts, transactions, communications, and compliance responsibilities increases, the right systems can help teams streamline oversight, support consistent processes, and manage information more efficiently.

Black Diamond Compliance & Surveillance provides configurable compliance testing, surveillance capabilities, and workflows that can help RIAs, broker-dealers, and hybrid firms manage oversight more efficiently. Capabilities such as configurable surveillance, centralized dashboards, and case management can help teams identify potential issues, document activity, and maintain greater visibility across the business.

Technology can reduce manual processes, strengthen oversight, and help compliance professionals focus their time and attention where it matters most.

Breaking away gives advisors the chance to establish the processes, technology, and infrastructure that support how they want to operate from the start. By considering compliance early, new firms can take a more deliberate approach to managing the responsibilities that come with independence.
